These Terms and Conditions govern the use of Voistay business telecommunications services. By accessing this website, executing a Voistay service quote, activating services, or using any Voistay products or services, you agree to these Terms and Conditions.

These services are provided solely for business and commercial use.

1. Services

Voistay provides business telecommunications services including hosted VoIP, SIP trunking, PBX services, integrated access devices, IP-PSTN software, and related hardware and network services.

Service availability and features may vary by location and configuration.

2. Account Activation and Billing

Account Activation Date is the date your Voistay account is provisioned.
Service Activation Date is the date inbound and outbound calling is enabled.

Billing cycles run from the first through the last day of each calendar month. Initial invoices may include prorated monthly recurring charges, non-recurring charges, usage fees, taxes, and regulatory assessments.

3. Term and Renewal

Service terms are twelve, twenty-four, or thirty-six months as selected on the applicable service quote.

All agreements automatically renew for successive twelve-month periods unless terminated in writing prior to the renewal date in accordance with the service agreement.

4. Early Termination

If services are terminated before the end of the committed term for any reason other than Voistay’s uncured material breach, the customer agrees to immediately pay:

All remaining monthly recurring charges through the end of the term.

A disconnection fee of fifty-eight dollars per SIP trunk.

Seven dollars per DID released prior to term expiration.

Forfeiture of any promotional credits, free months, or discounted equipment.

These amounts represent agreed liquidated damages and are not a penalty.

5. Acceptable Use

Services may only be used for normal business communications.

Prohibited uses include resale, continuous call forwarding, excessive autodialing, telemarketing, polling, solicitation, fax broadcasting, or usage that exceeds typical business calling patterns.

Voistay reserves the right to suspend, restrict, re-rate, or terminate services for misuse or abnormal traffic patterns.

6. Equipment

Customer owns all purchased equipment and assumes all risk of loss, theft, or damage once shipped.

Customer may not modify, factory reset, reverse engineer, or tamper with Voistay-provided equipment or software.

Unauthorized modification may result in immediate service termination and full contract charges becoming due.

If third-party equipment is used, the customer represents that all required licenses and permissions have been obtained and agrees to indemnify Voistay from any related claims.

7. Trial Period and Returns

A fourteen-day trial period begins on the Service Activation Date.

Hardware may be returned within ten days after the trial period with an approved return authorization. Refunds apply only to the hardware purchase price and exclude usage, shipping, and non-recurring charges. Customer is responsible for return shipping and risk of loss.

8. Number Portability

Local number porting fees are thirty dollars per DID. Porting timelines vary and typically range from ten to forty-five days.

Port cancellations, rejections, or snap-back requests may result in additional carrier fees.

Voistay is not responsible for delays caused by third-party carriers or inaccurate customer information.

9. Emergency 911 Services

VoIP 911 service may not function during power outages, internet disruptions, network failures, or service suspensions.

Customer is responsible for maintaining accurate registered location information for all direct inward dial numbers.

Calls placed without a registered address may be routed to a national emergency call center and may incur additional charges. Emergency services are not available for toll-free numbers.

10. Payments, Fees, and Collections

Customer authorizes Voistay to charge all fees to the payment method on file.

Failed or declined payments may result in service suspension, late fees, or termination. Interest may accrue on past-due balances at the maximum rate permitted by law.

Customer is responsible for all reasonable collection costs, including attorney fees.

11. Fraud and Security

Customer is responsible for securing its internal network, credentials, and devices.

Voistay is not responsible for unauthorized usage, hacking, toll fraud, phishing, or security breaches originating from the customer environment.

Fraudulent or unauthorized calls are billable and non-refundable.

12. Disclaimer and Limitation of Liability

Services are provided on an as-available basis without warranties of any kind.

Voistay is not liable for indirect, incidental, special, or consequential damages, including loss of data, revenue, profits, or access to emergency services.

Voistay’s total liability shall not exceed the fees paid by the customer for the affected service during the applicable billing period.

13. Indemnification

Customer agrees to indemnify and hold Voistay harmless from all claims, damages, losses, and expenses arising from use or misuse of the services, violation of these Terms, failure to maintain accurate emergency information, or content transmitted using the services.

14. Governing Law and Venue

These Terms and Conditions are governed by the laws of the State of Florida.

Venue for any dispute shall be exclusively in Orange County, Florida. Both parties knowingly waive the right to a jury trial.

15. Modifications

Voistay may update these Terms and Conditions from time to time. Updates will be posted on the website with a revised Last Updated date. Continued use of services constitutes acceptance of the updated Terms.

16. Entire Agreement

These Terms and Conditions, together with any applicable service quote or master service agreement, constitute the entire agreement between the parties regarding Voistay services.
